Salesforce Inc. (NYSE: CRM) agreed to acquire Braze Inc. (NASDAQ: BRZE) in a transaction valued at approximately $5.66 billion in enterprise value, expanding its marketing software business with real-time customer engagement and AI decisioning tools.
Holders of Braze Class A shares will receive $47.50 in cash per share under the definitive agreement, Salesforce announced on October 20. The transaction is expected to close in Salesforce’s fiscal 2028, subject to shareholder and regulatory approvals.
Salesforce shares fell 2.6% in premarket trading, Reuters reported. The move is an early trading snapshot rather than a closing price, and puts the buyer’s capital-allocation plans in focus as it continues expanding its AI software portfolio.
Cash Offer Sets the Terms for Braze Shareholders
The $47.50 consideration is the amount specified for each Class A share. The $5.66 billion headline is an enterprise valuation of the business, a different measure from either the price of one share or the total consideration received by a particular investor.
Signing the agreement does not complete the acquisition. Braze shareholders must approve the transaction, required regulatory clearances must be obtained and other customary closing conditions must be met.
Salesforce said it anticipates no change to its fiscal 2027 guidance. It has not issued fiscal 2028 guidance and provided no update to its long-term targets with the announcement, leaving the full financial contribution of Braze for later disclosures.
That limits what can be inferred from the purchase price alone. The release establishes the proposed consideration and expected timing, but does not supply a quantified earnings benefit or cost-saving target for investors to incorporate as a confirmed outcome.
Braze Adds Real-Time Consumer Engagement
Braze helps marketers respond to customer behavior across mobile apps, websites, email, SMS and WhatsApp. Its technology updates customer profiles and coordinates messages as people browse, make purchases and use products.
The appeal for Salesforce is the combination of that high-volume consumer engagement with its broader view of customer relationships. After closing, Braze is expected to strengthen Marketing Cloud’s ability to personalize interactions across channels.
Salesforce also plans to connect those capabilities with Data 360 and Agentforce. BrazeAI helps choose content, offers, channels and timing; Salesforce’s stated aim is to apply that decisioning within a wider system covering commerce, sales and service.
The acquisition announcement identifies Canva, Dairy Queen, Equinox, Instacart, Urban Outfitters and Venmo among Braze’s customers. It presents an established enterprise software business, rather than the purchase of an unlaunched AI product.
Latest Results Show Revenue Growth and Narrower Losses
Braze’s latest quarterly results, released September 8, showed revenue of $227.2 million for the three months ended July 31, up 26.2% from a year earlier. The period was its fiscal second quarter of 2027.
Subscription revenue contributed $207.7 million, with professional services and other revenue accounting for $19.6 million. The company attributed growth principally to new customers, additional sales to existing customers and renewals.
Its GAAP operating loss narrowed to $18.1 million from $38.8 million a year earlier, while non-GAAP operating income rose to $22 million from $6 million. The adjusted measure excludes specified expenses and should not be read as equivalent to GAAP profitability.
Braze generated $24.2 million in operating cash flow and $21.7 million in free cash flow during the quarter. Those figures provide a recent operating baseline; they do not establish the combined company’s future cash generation or the return Salesforce will earn on the acquisition.
The Deal Extends Salesforce’s AI Acquisition Strategy
Salesforce has been buying specialized technology to broaden the AI services offered through its customer relationship management platform. We previously reported its approximately $3.6 billion agreement to acquire Fin, formerly Intercom.
The company completed that acquisition on September 10. Fin focuses on AI-supported customer service, while Braze’s proposed contribution centers on marketing and consumer engagement.
The two deals address different stages of a customer relationship. Supporting a customer after a query arises and deciding which message or offer to send are related commercial functions, but involve different workflows and measures of success.
CRM Investors Will Watch Integration and Financial Returns
For Salesforce, buying Braze offers a route to add established technology and customer relationships. Delivering the expected benefits will require retaining customers and staff while connecting products that businesses already use.
The companies say they share an approach that preserves flexibility across customers’ data, tools and partners. How that works in practice will matter to organizations deciding whether to expand their use of the combined offering.
Tuesday’s premarket decline shows the announcement was not immediately rewarded in CRM’s share price. The longer-term assessment will depend on closing the transaction, integrating Braze and demonstrating commercial and financial benefits beyond the strategic rationale outlined in the release.
