Paramount Considers Bringing Elon Musk Into $110 Billion Warner Bros. Discovery Deal

Paramount is considering asking Elon Musk to join a group of equity investors as it prepares to complete its $110 billion acquisition of Warner Bros. Discovery.

Elon Musk could become an investor in Paramount as the media giant searches for additional capital ahead of completing its $110 billion acquisition of Warner Bros. Discovery, according to Semafor.

Paramount executives have discussed asking Musk to participate in a syndicate of equity investors in the company, people familiar with the matter told Semafor. Paramount CEO David Ellison has considered several wealthy individuals as potential participants, meaning there is currently no agreement for Musk to invest and the size of any potential commitment remains unknown.

Musk Could Join the Paramount Investor Group

A potential investment would deepen the financial connections between Musk and the Ellison family. David Ellison’s father, Oracle founder Larry Ellison, has a long-standing relationship with Musk and personally invested $1 billion in Musk’s 2022 acquisition of Twitter, now X. Ellison also previously invested in Tesla and served on the electric-vehicle company’s board.

Larry Ellison is already playing a central role in financing the Warner Bros. Discovery transaction. Semafor reports that he has personally guaranteed more than $40 billion of the equity financing behind Paramount’s acquisition. Bringing Musk and other wealthy investors into the shareholder group could diversify the financing structure and reduce the amount of capital ultimately tied to Ellison.

Paramount declined to comment on the potential investment, while Musk did not respond to Semafor’s request for comment. The discussions therefore remain exploratory rather than evidence that Musk has committed capital.

$110 Billion Warner Bros. Deal Nears Completion

Paramount agreed in February to acquire Warner Bros. Discovery in an all-cash transaction valuing WBD at an enterprise value of $110 billion. Under the definitive agreement, Paramount will pay $31 per share for Warner Bros. Discovery.

A major obstacle to completing the transaction was removed this week after Paramount reached a settlement with California and 11 other U.S. states that had sued to block the merger on antitrust grounds. The agreement lifted the no-close restriction and cleared a path toward completing the transaction.

Paramount is now assembling the enormous financing package required to complete the takeover. In addition to equity commitments, bankers are preparing roughly $49 billion of mostly loans and bonds, according to Semafor.

Musk Would Gain Exposure to a Hollywood Empire

If Musk ultimately joins Paramount’s investor group, he would gain an economic stake in a company controlling one of the entertainment industry’s largest collections of intellectual property.

The combined Paramount-Warner Bros. business will bring together franchises including SpongeBob SquarePants, Harry Potter, Game of Thrones, the DC Universe, Mission: Impossible and Top Gun, alongside major television and streaming businesses including CBS, CNN, HBO, Paramount+ and HBO Max.

The Warner Bros. portfolio also includes film rights connected to The Lord of the Rings, adding another globally recognized franchise to the combined entertainment group.

An investment would not necessarily give Musk operational control over those properties. Semafor notes that even if he participated in the equity syndicate, he would be unlikely to receive formal influence over the company’s day-to-day operations.

Paramount Looks for Fresh Capital

For Paramount, attracting another billionaire investor would primarily strengthen the financial foundation of a transformative acquisition.

The Warner Bros. Discovery deal will dramatically increase Paramount’s scale but will also leave the combined company carrying substantial debt and financing obligations. Bringing additional equity investors into Paramount could distribute that financial exposure across a wider group of backers.

Musk’s participation remains only a possibility. He is one of several wealthy investors being considered, no investment amount has been disclosed, and neither Paramount nor Musk has publicly confirmed that negotiations are underway.

But if Musk does join the syndicate, the world’s richest entrepreneur would gain a financial stake in one of Hollywood’s largest media groups just as Paramount completes one of the biggest entertainment acquisitions ever attempted.
